Ffestiniog and Welsh Highland Railways Heritage Ltd was initially established to resolve some complex legal issues surrounding ownership of the vehicles restored with support from the Heritage Lottery Fund. Its remit has subsequently been extended to include oversight of all heritage assets, including rolling stock, the development of heritage related policies, advising the Company & Trust on heritage related issues and serving as a vehicle for applying for and managing heritage related grant funding. F&WHRHL is also responsible for overseeing the management of the FR Museum collection and the FR Company's Archive collections.

Company Number 02231595, was incorporated in March 1988 as Greaves & Co Ltd and renamed as Ffestiniog Railway Heritage Ltd in July 2001. It is a non-trading limited company with, since February 2004, its directors being nominated by the Festiniog Railway Trust as representatives of the Trust, the Festiniog Railway Company, the Festiniog Railway Heritage Group and the Welsh Highland Railway Heritage Group.

As the FR Co. is now responsible for the WHR, heritage matters relevant to that railway also fall under the remit of FRHL. Nick Booker is chairman of the Welsh Highland Railway Heritage Group and a former Director of the Welsh Highland Heritage Railway. Contact with the FR Heritage Group is maintained through Adrian Gray. In 2013 it was renamed with its present tile to reflect its expended role.

John Alexander is Secretary and Helen Wilkinson, the Financial Secretary.

Andrew Scott, CBE was appointed to the Board of Ffestiniog Railway Heritage Limited in 2010[1]. Stephen Murfitt is also recorded as a director in 2011[2].
